Terms and Conditions

Note: The legally binding version of these Terms and Conditions is the German text. This English translation is provided for convenience only. In the event of any discrepancy, the German version prevails.
§ 1 Scope
These Terms and Conditions govern all contracts between stillstudio and consumers within the meaning of § 13 of the German Civil Code (BGB) for the purchase of licences for the application "IPTV Player" (hereinafter "the App") in the version applicable at the time of conclusion of the contract.
§ 2 Description of service
The App is a pure media/playlist player for smart TVs. It does NOT supply any content, channels or playlists. Users connect their own source (an M3U playlist or Xtream credentials from a third-party provider). We are not the provider, intermediary or responsible party for any content integrated by users.
The App contains no pre-installed sources, no channel search, no directory and no recommendations. It points to no sources of supply and establishes no connection to content the user has not entered themselves.
Knowledge of the content is technically impossible for us: the credentials and playlist addresses entered are stored encrypted on our servers and are not readable by us. The App retrieves them at startup and decrypts them only on the device. Even through the website they can only be replaced, never displayed. We therefore know neither which source a user employs nor which content is retrieved through it. There is no general obligation to monitor the sources entered by users or to actively search for infringements (cf. § 7(2) German Digital Services Act, Art. 8 Regulation (EU) 2022/2065).
§ 3 User obligations, warranty of entitlement and indemnity
You may use the App solely with sources you are entitled to use. By entering a source you warrant that you are entitled to use it and that you infringe no third-party rights with it — in particular no copyright or related rights. You are solely responsible for the content retrieved through the App.
You confirm this warranty separately before saving a source; the confirmed version of the text and the time of confirmation are recorded.
If you culpably breach this warranty, you shall indemnify us against third-party claims asserted against us on account of such an infringement, including reasonable costs of legal defence. We will inform you of any such claim without undue delay and give you the opportunity to comment.
§ 4 Measures upon reported infringements
If we receive a plausibly substantiated report that third-party rights are being infringed via your device, we are entitled to proceed in the following order:
- notify you and invite you to comment,
- delete the stored source configuration,
- block the licence if you continue or repeat the infringement, or if immediate action is required by law or by an authority.
A block always presupposes that less severe measures are insufficient; it is lifted as soon as the reason ceases to apply. We notify you of any measure together with a statement of reasons, including what it is based on and how you may object to it (cf. Art. 17 Regulation (EU) 2022/2065). If a block proves unjustified, your rights under the licence revive in full. The Notices page describes how to object. Your statutory rights, in particular to unwinding of the contract where performance ceases permanently, remain unaffected.
§ 5 Conclusion of contract
The presentation of products on the website does not constitute a binding offer but an invitation to purchase. You submit your offer by pressing the button labelled "Buy annual licence" or "Buy perpetual licence" on the activation page; payment is then executed via the payment service provider Stripe. The contract is concluded upon successful payment. Immediately before purchase, the essential characteristics, the total price and the device binding under § 7 are shown to you again.
You receive confirmation of the contract including your consent under § 10 in text form, at the email address you provide on the payment page (§ 312f(3) German Civil Code). We do not store that address ourselves.
§ 6 Prices and payment
- Annual licence: €5.49 (one-time payment)
- Perpetual licence: €12.99 (one-time payment)
All prices are final prices. No VAT is charged pursuant to § 19 of the German VAT Act (UStG) — the provider qualifies as a small business under that provision. Payment is made exclusively via the payment service provider Stripe. The amount payable, the currency and the licence term are determined solely server-side from our product catalogue, never from data supplied by your browser.
§ 7 Device binding of the licence (most important clause)
Every licence is strictly bound to exactly ONE device — technically to an internal device object, not to the device code visible on the TV. This applies including the perpetual licence. There is:
- no transfer of the licence to another device,
- no recovery mechanism in the event of device loss, failure or factory reset,
- no decoupling from the original hardware.
This is disclosed to you prominently and separately before you complete the purchase.
§ 8 Term of the licences
The annual licence is valid for twelve months from the date of purchase and does not renew automatically — a new purchase is required to continue using the App after expiry. This is not a subscription.
The perpetual licence grants you an unlimited right of use in the App. It has no expiry date. That right of use must be distinguished from the duration of the online service — see § 9.
§ 9 Provision of the service and discontinuation
The App requires an online licence check before playback is authorised. To that extent usability depends on the continued existence of our service — including with the perpetual licence. We state this expressly here because it does not follow from the term "perpetual licence" alone.
We give no undertaking as to any particular operating period. We may discontinue the service for economic, legal or other reasons. In that case:
- Ordinary discontinuation: we announce it at least three months in advance on this website and in the App. That lead time allows you to note down your stored credentials — we cannot hand them to you, as they are encrypted and not readable by us (§ 2).
- Compelling reason: where an order by an authority or a court, the loss of a service provider essential to operation, or technical impossibility so requires, we may discontinue the service without observing that period. The compensation under the following paragraph remains unaffected.
Compensation on discontinuation. If we discontinue the service we refund you pro rata:
- Perpetual licence: pro rata against a reference period of three years from the date of purchase. After those three years no refund is made.
- Annual licence: pro rata for the full months not yet elapsed at the time of discontinuation.
The three-year reference period is not an undertaking as to an operating period; it is solely the basis for calculating the refund. It is measured against the pricing: at €12.99 the perpetual licence costs roughly the equivalent of two and a half annual licences at €5.49 each. The reference period therefore exceeds the price equivalent.
Your statutory rights, in particular under §§ 327 et seq. of the German Civil Code, remain unaffected.
§ 10 Right of withdrawal
As a consumer you have a right of withdrawal of fourteen days as a matter of principle. That right may lapse early if you expressly agree to the immediate execution of the contract and confirm that you thereby lose your right of withdrawal. The complete withdrawal notice is available at the withdrawal policy.
§ 11 Warranty
Statutory warranty rights apply. We are not liable for the availability, legality or quality of any content you play back through a third-party source you have connected yourself.
§ 12 Liability
We are fully liable for intent and gross negligence and for damage arising from injury to life, body or health and under mandatory statutory provisions (e.g. the German Product Liability Act). For ordinary negligence, we are liable only for breach of material contractual obligations (cardinal obligations), limited to the foreseeable damage typical for this type of contract. Further liability is excluded.
§ 13 Consumer dispute resolution
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration body.
§ 14 Final provisions
German law applies. Mandatory consumer-protection provisions of your country of habitual residence remain unaffected. Should any individual provision of these Terms and Conditions be invalid, the validity of the remaining provisions is not affected.
